Terms of Service

Last updated: October 16, 2026

Please read these Terms of Service ("Terms") carefully before using the ApexTick website, API, MCP server, alerts, briefings, Excel Add-ins, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service.

1. Use of the Service

ApexTick provides market data and financial intelligence software through four products. You are granted a non-exclusive, non-transferable, revocable license to access and use each product strictly in accordance with these Terms and the entitlements of your selected subscription plan:

  1. Alerts & Intelligence Engine (/v1/alerts): automated triggers on price, technical indicator, and volume conditions that you define, delivered to the email addresses, webhooks, and messaging channels (Slack, Discord, Telegram) that you configure, or recorded for retrieval through the API.
  2. ApexTick MCP Server (/mcp): Model Context Protocol tools that let AI assistants and agents query the Service, through the hosted MCP endpoint at https://api.apextick.com/mcp and any stdio distribution of the MCP server that we make available to you.
  3. White-Label & Watchlist Community Briefings (/v1/digests): scheduled watchlist digests and branded pre-market and closing bell briefings delivered to the destinations that you configure.
  4. Developer Data API & Excel Add-ins: the REST and WebSocket market data API, and the ApexTick Excel Lite and ApexTick Excel Native spreadsheet add-ins.

The endpoints, data depth, tools, and limits available to you depend on your plan, as published on our pricing page.

You agree not to:

  • Share, resell, or distribute your API keys to any third party. Each API key, including each MCP seat, may only be used by the individual or application it was issued for.
  • Attempt to reverse engineer, decompile, or discover the source code or underlying architecture of the Service, including the MCP server and the Excel Add-ins.
  • Use the Service to construct a competing market data API or data distribution platform, or redistribute raw market data obtained from the Service.
  • Circumvent or attempt to bypass any rate limits, plan entitlements, billing mechanisms, or security measures.
  • Configure alerts or briefings to send messages to email addresses, webhooks, or channels that you are not authorized to use.

Delivering White-Label Community Briefings to the members or subscribers of your own community or newsletter, as configured in your account, is a permitted use of that product and is not a redistribution of raw market data. You are responsible for the content and audience of every destination you configure.

2. Subscriptions, Daily Quotas, Overages, and Billing

The Service is billed on a subscription basis ("Base Plan"), billed in advance monthly or annually, with metered usage for overages. API quotas are measured per UTC calendar day (00:00 to 23:59 UTC):

  • Hobbyist ($0): includes 500 requests per UTC day as a hard cap. Requests beyond the cap are rejected until the next UTC day. Hobbyist accounts are never billed for overages.
  • Trader Pro: includes 25,000 requests per UTC day. Additional requests are billed at $0.002 per request.
  • Quant & Community: includes 150,000 requests per UTC day. Additional requests are billed at $0.001 per request.
  • Enterprise: includes 1,000,000 requests per UTC day. Additional requests are billed at $0.0005 per request.

Per-day metering: Paid plans are metered per UTC calendar day. Requests that exceed the included daily quota on any UTC day are billed as overages at the end of your monthly billing cycle, regardless of your cumulative monthly usage. Unused daily quota does not carry over to other days. For example, a Trader Pro account that makes 30,000 requests on one UTC day and 10,000 requests on the next is billed for 5,000 overage requests ($10.00), even though its two-day total is below 50,000 requests.

Per-minute rate limits also apply to each plan, as published on our pricing page.

  • Upgrades: take effect immediately. The price difference for the remainder of the current billing period is prorated by our payment processor, Stripe.
  • Downgrades and cancellations: take effect at the end of the current billing period. You keep your current plan's entitlements until then. Cancelling a paid plan returns your account to the Hobbyist plan.
  • No refunds: Due to the digital nature of the Service, we do not offer refunds for partial billing periods, unused quota, or consumed daily overages.
  • Payments: All payments are processed securely by third-party payment processors (e.g., Stripe). We do not store your full credit card details.

3. Data Sourcing and Accuracy (Disclaimer)

ApexTick aggregates, normalizes, and serves data from a proprietary blend of institutional feeds, SIPs, and direct exchange connections.

THE SERVICE AND ALL MARKET DATA ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESSED OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF THE DATA.

Market data is inherently subject to delays, omissions, and inaccuracies. You acknowledge that the Service is not intended for sub-second, high-frequency trading (HFT) arbitrage where absolute real-time NBBO accuracy is required.

4. No Financial or Investment Advice

ApexTick is a technology and data provider, not a registered broker-dealer or investment advisor. All output of the Service is strictly informational and does not constitute investment advice, financial advice, trading advice, or a recommendation to buy or sell any security or asset. This includes, without limitation:

  • Technical indicators and signals: RSI levels, SMA crosses, MACD signal-line crossovers, relative volume (RVOL) surges, and any other computed metric.
  • Automated alerts: notifications sent when a condition you configured is met.
  • Scheduled briefings: watchlist digests and White-Label Community Briefings, including market movers and sector performance.
  • AI and MCP tool output: the results of get_quote, analyze_ticker, explain_price_move, get_watchlist_brief, screen_market, and any other MCP tool, as well as any text an AI assistant generates from them.

Alerts and briefings are delivered through third-party networks and platforms and may be delayed, duplicated, or not delivered. Do not rely on them for time-critical trading decisions. You are solely responsible for your own investment and trading decisions, and for any content you relay to your community or audience.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, TRADING LOSSES, DATA LOSS, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  2. ANY INACCURACIES, ERRORS, OR OMISSIONS IN THE MARKET DATA;
  3. ANY UNAUTHORIZED ACCESS TO YOUR API KEYS OR ACCOUNT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

6. Termination

We reserve the right to terminate or suspend your account and API access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms or fail to pay outstanding invoices. Upon termination, your right to use the Service will immediately cease.

7. Governing Law and Entity

The Service is a commercial venture operated by OpenField Nexus LLC. These Terms shall be governed and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

8. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

9. Async Support Policy

All customer and billing support is provided 100% asynchronously by email. We do not offer phone, voice, or video support.

Response priority depends on your plan, as published on our pricing page.
